1. INTRODUCTION
1.1. Purposes
Our mission is to provide an online forum for professionals and organizations to connect with persons in need of therapy through short directory videos. This website (the "Site") is owned by Jay Steinhardt. We at NeedingTherapy ("NeedingTherapy" or "we" or "us") provide online services (the "Services") to you, the professional and/or organization, to provide a space to connect with people in need of therapy. This Agreement governs the use of the website. “Use” refers to the activity conducted on the website upon registration. This activity includes, but is not limited to, registering, sharing personal information, and uploading videos on the Site.
1.2. Agreement
By clicking "I Agree" (or similar), you are entering into a legally binding agreement. This Agreement includes this Subscription Agreement and the Privacy Policy, the Website Terms of Use, and other terms displayed on this Website, as may be amended by us from time to time. If you do not agree to this Agreement, do NOT click "I Agree" (or similar) and do not access or otherwise use our Services.
2. YOUR OBLIGATIONS
2.1. Eligibility, registration and membership rules
To use the Services, you agree that (1) you are age eighteen (18) or older; (2) you will have only one NeedingTherapy account, which must be in your real name or valid company name; (3) you are not already restricted by NeedingTherapy from using the Services; (4) hold a minimum of a masters degree from an accredited institution in a mental health related field.
Subscription fees are subject to change at any time. Individual Members / organizations have the option of choosing either a monthly or yearly subscription fee. Additionally, Individual Members / organizations may also apply a specific promotional code, if available.
An individual member MUST SELECT One of the Subscription options (monthly or yearly) under the “INDIVIDUAL” membership options. An ORGANIZATION (meaning there is representation of more than one professionals, or there the use of a profile to represent more than just one professional ) MUST SELECT one of the subscription options (monthly or yearly) under the “ORGANIZATION” membership options.
In order to post certain material to the Site, such as a professional profile in our directory, you will be required to register. We will request information from you, including your name and email, contact information and other details about you and your business. You must provide us with accurate, real information. Upon submitting your information and creating your NeedingTherapy profile, your account will be up for review.
By registering on the Website’s directory, you are confirming that you and/or organization are in good standing with, an officially recognized board that regulates your specific therapeutic profession (i.e. psychologist, psychiatrist, social worker, professional counselor, marriage and family counselor and all other professionals). You and /or organization are confirming your professional and/or organization’s license is within the geographical area you/it practice in.
Additionally, you and/or the members of your organization must HOLD A MINIMUM OF A MASTERS DEGREE FROM AN ACCREDITED INSITUTION IN A MENTAL HEALTH RELATED FIELD. If you are unlicensed or pre-licensed, you agree to state that fact clearly in your profile on the Website and report your licensure status and professional standing to prospective clients upon initial contact. Unlicensed and pre-licensed therapists/professionals must be under supervision and have a Masters level or higher degree from an accredited institution.
By registering and listing on the Website, you are responsible for carrying current professional liability and/or malpractice insurance. While you may remain a member without insurance, you agree to state this fact in your profile on the Website. NeedingTherapy does not in any way provide or offer professional liability and/or malpractice insurance.
In creating a profile by submitting any and all information, a profile picture, video, and any other information associated with your account, you agree to submit and display professional representation of your practice and organization. Professional representation includes wearing the appropriate professional attire (in uploaded photos and videos), using appropriate language, and accurately representing your practice or organization as it stands. Any false advertising or misrepresentation may be result in a rejection or cancellation of your membership and profile without notice, and without refund. In addition, professionals and organizations must fill in all the required fields of their profile including but not limited to their professional information, credentials, profile picture and video.
By registering and becoming a member on the Website, you agree and accept any and all responsibility for any communication and business you conduct with clients, organization, professionals, and all others as a result of being listed at Needingtherapy.com and release us from all liabilities herein.
Although NeedingTherapy works diligently to advertise your practice and organization, NeedingTherapy cannot promise or guarantee an increase in clients or business as a result of using our services.
NeedingTherapy may choose to publicize member’s professional information on NeedingTherapy’s partner sites such as NeedingTherapy’s Twitter, Facebook, and YouTube channel. Any objection to this process should be communicated directly to NeedingTherapy’s email.
Professionals and/or organizations are displayed randomly on the search results page as well as on the rest of the site. There is no particular order for which professionals and organizations are listed on the results page.
2.2. YouTube, Google Places, and Video Directory Obligations
Registered users of the Website, grant us permission to submit their practice address to Google Places. This means that members are agreeing that their physical address and phone number are valid and accurate contacts for their professional practice. You agree that by permitting us to submit your practice to Google Places, we may also submit your practice to Bing Maps (www.bing.com) as well. This is a free and complimentary service designed to help professionals gain clients through us. We will use the contact address and your phone number you provide us with. Both of these services are free.
We are, however, not obligated to submit your information to Google Places or Bing Maps and whether or not we do is entirely up to us. We are not affiliated with Google or Bing.com in any way, and this agreement only represents a service by us. Terminating your membership on the Website will not cause us to remove you from Bing Maps or Google Places. We have no affiliation with either Google or Microsoft.
NeedingTherapy is a video directory. NeedingTherapy has its own Youtube channel. Members’ videos are posted on NeedingTherapy’s YouTube channel to advertise practices and organizations. By signing up as a member on the Website you are granting us permission to upload your video onto NeedingTherapy’s Youtube channel, where it will be searchable on YouTube.
2.3. Password
Your account belongs to you. You agree to (1) try to choose a strong and secure password; (2) keep your password secure and confidential; and (3) not transfer any part of your account.
We ask you to register to become a subscriber (“Subscriber”) to our Services. To become a registered Subscriber, you must complete the information in the "Membership" section of the Website. As part of the registration process, you will select a password and may be prompted to complete information about yourself (“Personal Registration Information”). Your Personal Registration Information will be subject to our Privacy Policy. You agree that the information you supply during that registration process will be accurate and complete and that you will not register under the name of, nor attempt to enter our Website under the name of, another person or entity. You will be responsible for preserving the confidentiality of your password and for all actions of persons accessing our Website through any password you select. You will notify us in a timely manner at [email protected] of any known or suspected unauthorized use of your account, username, password, or any other breach of security that you become aware of. We disclaim any liability for any and all losses arising from your failure to so notify us.

2.4. Payment
You agree to pay us the applicable subscription fees and taxes. Failure to pay these fees may result in the termination of your subscription and Services. You authorize us to store and continue billing your payment method (e.g., credit card) to avoid interruptions in your Services.
If you falsely represent that you are any related mental health professional or organization by not accurately selecting the appropriate subscription associated with your professional representation (individual or organization), than you may be asked to change your subscription to the accurate one, and/or maybe be denied membership access without notice.
You may cancel your membership at any time by using the support links within your membership area, or by contacting us at [email protected] Please provide your full name and account username/login and allow a minimum of 3 business days for your subscription to be canceled. If you would like to cancel your subscription before the next billing cycle, you must use the appropriate support links to cancel and contact us PRIOR to the charge being processed. We do not provide refunds unless there was an error on our part. Your account and related materials will be deleted from our servers upon cancellation, or at the end of any billing cycle for which you have already paid in full, whichever is later.
You as a listed member on the Website represent and warrant that when you make a payment to the Website as part of our service or for purchasing our products, that your credit information you submit is accurate, true and complete; that charges incurred by you will be honored by your bank or credit card company; that you will pay the charges incurred by you at the subscription costs you yourself signed up for which includes any applicable taxes; and if your initial payment method is dishonored, you will still pay the charges incurred, including any surcharge we may incur due to such dishonored payment.
Although NeedingTherapy actively supports fighting payment fraud, we have a zero-tolerance policy regarding payment charge-backs. If you start a charge-back process regarding our service, NeedingTherapy reserves the right to immediately cancel your account. Your account and the payment information you provided will be stricken from our site’s files. Should this occur, you will never again be able to use that account and payment information with us and you will be liable to us for administrative costs in processing the charge-back.
2.5. Subscriber Services
The Subscriber warrants that they are responsible for the services they provide to the individuals contacted through the website. The subscriber agrees that NeedingTherapy does not screen individuals, provide medical diagnosis or referrals, and has no responsibility for any arrangement made between the subscriber and the patient. The Subscriber warrants that they shall not, in any way, represent that NeedingTherapy is in any way responsible for the services or results that the Subscriber provides.
You agree that we may provide notices to you in the following ways: (1) a banner notice on the Service; or (2) an email sent to an address you provided; or (3) through other means including mobile number, telephone, or mail. You agree to keep your contact information up to date.
2.6. Messaging
Our Services allow messaging and sharing of information in many ways, such as your profile and e-mails. Information and content that you share or post will be seen by other Subscribers and the general public. We are not obligated to publish any information or content through our Services and we can remove any content in our sole discretion, at any time, with or without notice. By submitting suggestions or other feedback regarding our Services to NeedingTherapy, you agree that NeedingTherapy can use and share (but does not have to) such feedback for any purpose without compensation to you.
2.7. Your Content
You alone are responsible for your content and postings to our Website, and the consequences of any such content and postings. You agree not to use our Website to send or submit materials:

a. that are false, inaccurate or misleading;
b. that infringe any third party's copyright, patent, trademark, trade secret, or other proprietary rights or rights of publicity or privacy;
c. that violate any law, statute, ordinance, or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination, and false advertising);
d. that are libelous, threatening or harassing;
e. that are obscene or contain any kind of pornography;
f. that contain any viruses, Trojan horses, worms, time bombs, cancel bots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data, or personal information;
g. that might create liability for us or might cause us to lose (in whole or in part) the services of our Internet service providers or other suppliers;
h. that interfere with the ability of others to enjoy our Website;
i. that impersonate any other person or entity, whether actual or fictitious, including impersonating an employee or consultant of NeedingTherapy;
j. that link to or include descriptions of goods or services that: (i) are prohibited under this Agreement; or (ii) you do not have a right to link to or include;
k. that contain any content that you do not have the right to make available under any law or any contractual or fiduciary relationship (such as inside information and confidential information learned under a non-disclosure agreement); or
l. that instigate or encourage others to commit illegal activities or cause injury or property damage to any person.

That said, we are most often a passive conduit for the information Subscribers submit. We cannot and do not review every submission a Subscriber may make. We neither endorse nor guarantee the accuracy or propriety of any submission. We do, however, reserve the right, but do not assume the obligation, to restrict or prohibit your use of our Website if we believe you are violating any of the terms of this Subscription Agreement and to remove, edit, or relocate any submission as we see fit, whether for legal or other reasons.

2.8. DOS AND DON’TS

Your commercial exploitation of the Website is restricted to the limited license and by your obligations herein. As a condition of your subscription and eligibility to use our Website and Services, you must abide by NeedingTherapy’s Community Guidelines below:

DO:
• Comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements;
• Provide accurate information to us and keep it updated;
• Provide a professional video to accompany your profile;
• Use your real name or entity name;
• Use the Services and Website in a professional manner.
DON'T:

  • Act dishonestly or unprofessionally, including by posting inappropriate, inaccurate, or objectionable content;
  • Add content that is not intended for, or inaccurate for, a designated field (e.g. submitting a telephone number in the “title” or any other field, or including telephone numbers, email addresses, street addresses or any personally identifiable information for which there is not a field provided by NeedingTherapy);
  • Use an image that is not representative of your business or is misleading;
  • Create a false identity on the Website;
  • Create a profile for anyone other than yourself or your business;
  • Use or attempt to use another's account;
  • Harass, abuse, or harm another person;
  • Scrape or copy Subscriber profiles and information of others through any means (including crawlers, browser plugins, add-ons, or any other technology or manual work);
  • Act in an unlawful, libelous, abusive, obscene, discriminatory, or otherwise objectionable manner;
  • Disclose information that you do not have the right to disclose (such as confidential information of others (including your business);
  • Violate intellectual property rights of others, including patents, trademarks, trade secrets, copyrights, or other proprietary rights;
  • Violate the intellectual property or other rights of NeedingTherapy, including, without limitation, using the word “NeedingTherapy” or our logos in any business name, email, or URL.
  • Post or send any unsolicited or unauthorized advertising, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation unauthorized by NeedingTherapy;
  • Send messages to distribution lists, newsgroup aliases, or group aliases;
  • Manipulate identifiers in order to disguise the origin of any message or post transmitted through the Services;
  • Create profiles or provide content that promotes escort services or prostitution.
  • Create or operate a pyramid scheme, fraud, or other similar practice;
  • Copy or use the information, content, or data of others available on the Services (except as expressly authorized);
  • Copy or use the information, content or data on the Website in connection with a competitive service (as determined by NeedingTherapy);
  • Copy, modify, or create derivative works of the Website, the Services or any related technology (except as expressly authorized by NeedingTherapy);
  • Reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for the Website, Services, or any related technology, or any part thereof;
  • Imply or state that you are affiliated with or endorsed by NeedingTherapy without our express consent;
  • Rent, lease, loan, trade, sell/re-sell access to the Services or related any information or data;
  • Sell, sponsor, or otherwise monetize a NeedingTherapy Group or any other feature of the Services, without NeedingTherapy's consent;
  • Deep-link to our Services for any purpose other than to promote your profile without NeedingTherapy's consent;
  • Remove any copyright, trademark, or other proprietary rights notices contained in or on our Website or Services;
  • Remove, cover, or obscure any advertisement included on the Services;
  • Collect, use, copy, or transfer any information obtained from NeedingTherapy without the consent of NeedingTherapy;
  • Share or disclose information of others without their express consent;
  • Use manual or automated software, devices, scripts robots, other means or processes to access, “scrape,” “crawl” or “spider” the Services or any related data or information;
  • Use bots or other automated methods to access the Services, add or download contacts, send or redirect messages;
  • Monitor the Services' availability, performance, or functionality for any competitive purpose;
  • Engage in “framing,” “mirroring,” or otherwise simulating the appearance or function of the Services;
  • Access the Services except through the interfaces expressly provided by NeedingTherapy;
  • Override any security feature of the Services; or
  • Interfere with the operation of, or place an unreasonable load on, the Services (e.g., spam, denial of service attack, viruses, gaming algorithms).

2.9 VIDEO SERVICES
Members may request contact information of video and filming agencies from our resource database when considering having a professional video. Contacts of filming or video services communicated to members, however, are not owned or operated by us and are outside of our control. These services should not be deemed an endorsement or representation of warranty, or any other type of guarantee or recommendation for these services. NeedingTherapy is not directly affiliated with these services. We offer the contact information of these services as a resource only. Under no circumstances shall we be responsible or liable for any loss or damage caused directly or indirectly by your reliance on information related to these resources obtained through the site.

3. YOUR LICENSE TO US
As between you and NeedingTherapy, you own the content and information that you submit or post to the Website; you hereby grant, and shall grant, to NeedingTherapy the following royalty-free license: a worldwide, transferable and sub-licensable right to use, copy, modify, distribute, publish, and process, information and content that you provide through our Services, without any further consent, notice, and/or compensation to you or others.
You can end this license for specific content by requesting in writing that we delete such content from the Website, or generally by terminating your account, except for the reasonable time it takes to remove it from backup and other systems.
1. We will not include your content in advertisements for the products and services of others without your consent. However, we have the right, without compensation to you or others, to serve ads near your content and information, and any comments that may be possible to post through the Services may be visible as noted in the Privacy Policy.
2. You agree that Website users may access and share your content and information.
3. We may edit and make formatting changes to your content (such as translating it, modifying the size, layout or file type or removing metadata).

You may use the Website and Services to post your therapy profile ("Profile") to our Therapy Directory for purposes of offering your therapy services to the general public for individuals to inquire about services, provided that your Profile conforms to our specifications and the terms of this Subscription Agreement.
Your Profile must meet the requirements, which are explained in the section of our Website titled, "FAQs about listing on Needing Therapy." Any transactions you conduct through our Website must be in compliance with the terms of this Agreement and other terms of use and policies on our Website.
Links. You are free to encourage others to access the information on our Website. We welcome links to our Website. You are free to establish a hypertext link to our Website provided the link does not state or imply any sponsorship or endorsement of your website by us or make use of a trademark, service mark, or logo without written consent of the owner.

No Framing. Without our prior written consent, you may not frame, or in-line link to, any of the content of our Websites, or incorporate into any other website or service any of our intellectual property.

5. SERVICE AVAILABILITY
NeedingTherapy is not a storage service. You agree that we have no obligation to store, maintain, or provide you a copy of any content or information that you or others provide, except to the extent required by applicable law and as noted in our Privacy Policy.
NeedingTherapy reserves the right to change, restrict, suspend, or terminate your subscription and the Services if NeedingTherapy believes that you may be in breach of this Agreement, or applicable law, or are misusing the Services (e.g. violating any Do and Don'ts). To the extent allowed under law, these changes may be effective upon notice provided to you.
6. THIRD-PARTY SERVICES & CONTENT
By using the Services, you may encounter content or information that might be inaccurate, incomplete, delayed, misleading, illegal, offensive or otherwise harmful. NeedingTherapy generally does not review content provided by our Subscribers. The materials posted by third parties on our Websites represent the views of such third parties and are not endorsed by us, nor do we guarantee the accuracy of any posting. You agree that we are not responsible for third parties' (including other Subscribers') content or information or for any damages as result of your use of or reliance on it.
You are responsible for deciding if you want to access or use third-party apps or Websites that link from our Services. If you allow a third-party app or site to authenticate you or connect with your NeedingTherapy account, that app or site may be able to access information on NeedingTherapy related to you. Third-party apps and sites have their own legal terms and privacy policies, and you may be giving others permission to use your information in ways we would not. 10. INDEMNIFICATION
You shall defend, indemnify, and hold harmless NeedingTherapy from and against any third-party claims, costs, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees and costs) arising out of: (i) any claim alleging that your content infringes the rights of, or has caused harm to, a third party; (ii) your services; (iii) your use of our Website; or (iv) your breach of, or failure to conform to the requirements of, this Agreement.

Any waiver of rights under this Agreement shall be in writing. If either party fails to insist upon or enforce strict performance by the other party of any provision of the Subscription Agreement, or to exercise any right under the Subscription Agreement, such a failure will not be construed as a waiver or relinquishment to any extent of such party's right to assert or rely upon any such provision or right in that or any other instance.
This Subscription Agreement constitutes the entire understanding between the parties as to the subject matter hereof, and supersedes all prior agreements and understandings relating to such subject matter.

15. COPYRIGHT COMPLAINTS REGARDING CONTENT
We respect the intellectual property rights of others. We require that information posted by Subscribers be accurate and not in violation of the intellectual property rights or other rights of third parties.
